DIRECTORY LISTINGS & USE

These Terms and Conditions (the “Terms”) govern your use of the Manitoba Horse Council Directory (the “Directory”) and constitute a binding agreement between you and the Manitoba Horse Council (“MHC”). By accessing or using the Directory, you agree to these Terms in full. If you do not agree, please refrain from using the Directory.

1. Submission of Information
You agree to provide accurate, complete, and current information necessary for your listing. You are responsible for maintaining and updating this information to ensure its accuracy. MHC may rely on the information you provide, and any inaccuracies may result in removal or suspension of your listing.

2. Directory Content Management
MHC reserves the right, in its sole discretion, to include, modify, or remove any listing at any time without prior notice. MHC does not guarantee the accuracy, completeness, or reliability of any listings and disclaims all liability for any errors or omissions.

3. No Endorsement or Guarantee
The presence of a business in the Directory does not constitute an endorsement or recommendation by MHC. MHC is not responsible for the quality, safety, or legality of any products or services offered by listed businesses. Users are advised to conduct their own due diligence before engaging with any business.

4. Intellectual Property Rights
All content, trademarks, logos, and other intellectual property included in the Directory remain the property of their respective owners. No rights or licenses are granted to you under any intellectual property rights by your use of the Directory.

5. Availability and Interruptions
MHC endeavors to ensure the Directory is always available but makes no guarantees regarding its uninterrupted operation or error-free performance. MHC shall not be liable for any downtime, interruptions, or errors affecting access to the Directory.

6. User Responsibilities
By using the Directory, you agree to:
• Use the Directory only for lawful purposes and in accordance with these Terms.
• Provide truthful and accurate information for your listing and keep it up to date.
• Respect the rights of other users and third parties.
• Not attempt to interfere with or disrupt the operation of the Directory, including through hacking, malware, or other malicious activities.

7. Prohibited Conduct
When using the Directory, you agree not to:
• Use the Directory for any unlawful, fraudulent, or malicious purpose.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Collect or harvest any data from the Directory or other users without prior permission.
• Upload or transmit harmful, obscene, or offensive content.
• Attempt to gain unauthorized access to other parts of the Directory or related systems.

8. Privacy
Your use of the Directory is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Directory, you agree to the terms of the Privacy Policy.

9. Limitation of Liability
To the maximum extent permitted by law, MHC shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or relating to your use or inability to use the Directory, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses, even if MHC has been advised of the possibility of such damages. In no event shall MHC’s total liability exceed the amount you paid, if any, for accessing the Directory.

10. Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Directory, you agree to first attempt to resolve the matter amicably by contacting MHC at [contact information]. If the dispute cannot be resolved within a reasonable period, it shall be submitted to binding arbitration in accordance with the Arbitration Act of Manitoba, or the applicable law, with the arbitration to take place in Manitoba. The decision of the arbitrator shall be final and binding on both parties.

11. Indemnification
You agree to indemnify, defend, and hold harmless MHC, its officers, directors, employees, agents, and affiliates from and against any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to:
• Your violation of these Terms.
• Your use of the Directory.
• Your violation of any rights of third parties.
• Any content or information you submit or transmit through the Directory.

12. Updates to Terms
MHC may revise these Terms at any time by posting updated versions on www.manitobahorse.ca. Your continued use of the Directory following any updates constitutes your acceptance of the revised Terms.

13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Manitoba, without regard to its conflict of law principles.
